1. Agreement to Terms

By accessing or using RoundupHero ("the Platform," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform.

RoundupHero is operated by Quoleady OÜ, a company registered in Estonia (registration code: 16433296, VAT: EE102498918), located at Vesivärava tn 50-201, Kesklinna linnaosa, Tallinn, Harju maakond, 10152, Estonia.

These Terms apply to all users of the Platform, including authors who create roundups and experts who contribute content.

2. Description of Service

RoundupHero is a platform that enables:

  • Creation and management of expert roundups
  • Inviting industry experts to contribute quotes and insights
  • Publishing and sharing completed roundup content
  • Building a directory of verified experts

3. Account Registration

3.1 Eligibility

You must be at least 18 years old to use RoundupHero. By creating an account, you represent that you meet this requirement.

3.2 Account Information

You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password secure and confidential
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized use of your account
3.3 LinkedIn Verification

We may verify your professional identity through LinkedIn. You authorize us to access your LinkedIn profile information for verification purposes.

4. Subscription Plans and Payments

4.1 Free and Paid Plans

RoundupHero offers both free and paid subscription plans. The features available under each plan are described on our pricing page.

4.2 Billing
  • Paid subscriptions are billed in advance on a monthly or annual basis
  • All payments are processed securely through Stripe
  • Prices are listed in USD unless otherwise specified
  • You are responsible for any applicable taxes
4.3 Cancellation
  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of your current billing period
  • No refunds are provided for partial billing periods
4.4 Refunds

We may consider refund requests on a case-by-case basis within 14 days of purchase. Contact us for refund inquiries.

5. User Content

5.1 Your Content

"User Content" includes roundups, quotes, profile information, images, and any other content you submit to the Platform.

5.2 Content Ownership

You retain ownership of your User Content. By submitting content, you grant RoundupHero a worldwide, non-exclusive, royalty-free license to use, display, reproduce, and distribute your content in connection with the Platform's operation and promotion.

5.3 Expert Contributions

When you submit a quote or contribution to a roundup:

  • You grant the roundup author the right to use your contribution in their published roundup
  • Your name, photo, and professional details may be displayed alongside your contribution
  • You represent that your contribution is original or that you have the rights to submit it
5.4 Content Restrictions

You agree not to submit content that:

  • Infringes intellectual property rights of others
  • Is false, misleading, or deceptive
  • Is defamatory, obscene, or offensive
  • Violates any applicable law or regulation
  • Contains malware, spam, or harmful code
  • Impersonates another person or entity

6. Acceptable Use

You agree not to:

  • Use the Platform for any illegal purpose
  • Harass, abuse, or harm other users
  • Attempt to gain unauthorized access to the Platform or other users' accounts
  • Use automated systems (bots, scrapers) without permission
  • Interfere with or disrupt the Platform's operation
  • Circumvent any access restrictions or usage limits
  • Use the Platform to send unsolicited communications (spam)
  • Create multiple accounts to abuse free tier limits

7. Intellectual Property

7.1 Platform Rights

RoundupHero and its content, features, and functionality are owned by us and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

7.2 Feedback

If you provide feedback, suggestions, or ideas about the Platform, you grant us the right to use them without compensation or attribution.

8. Third-Party Services

The Platform integrates with third-party services including:

  • LinkedIn (authentication and profile verification)
  • Stripe (payment processing)
  • Amazon Web Services (hosting and storage)

Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

9. Termination

9.1 By You

You may delete your account at any time through your account settings. Upon deletion, your personal data will be removed in accordance with our Privacy Policy.

9.2 By Us

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Create risk or legal exposure for us

We will provide notice when reasonably possible before termination.

9.3 Effect of Termination

Upon termination, your right to use the Platform ceases immediately. Content you contributed to published roundups may remain visible.

10. Disclaimers

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Platform will be uninterrupted or error-free
  • Defects will be corrected
  • The Platform is free of viruses or harmful components
  • User Content is accurate, reliable, or appropriate

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ROUNDUPHERO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless RoundupHero, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Platform
  • Your User Content
  • Your violation of these Terms
  • Your violation of any third-party rights

13. Dispute Resolution

Any disputes arising from these Terms or your use of the Platform will be resolved through:

  1. Informal Resolution: Contact us first to attempt to resolve the dispute informally.
  2. Binding Arbitration: If informal resolution fails, disputes will be resolved through binding arbitration rather than in court.

You agree to waive any right to participate in class actions or class arbitrations.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Estonia, without regard to conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the courts of Estonia.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and revising the "Last updated" date. Your continued use of the Platform after changes constitutes acceptance of the new Terms.

16. General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and RoundupHero regarding the Platform.
  • Severability: If any provision is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right does not waive our ability to enforce it later.
  • Assignment: You may not assign your rights under these Terms without our consent.
